1. General
1.1 The website is the official website of Gordonia Hotels Ltd. (hereinafter – “Gordonia Hotels Ltd.”) and, by virtue of this, also of each of the hotels operated by Gordonia Hotels Ltd.: Gordonia Maale Hahamisha, Elma, Yearim, and Gordonia Zikhron Yaakov (hereinafter, all of the above hotels jointly and/or severally – “the Hotel”).

1.2 This website (hereinafter – “the Website”) enables the reservation of hotel accommodation services, as well as additional services that may be included from time to time, such as spa treatments, performances (at the Elma Hotel only), and so forth.

1.3 Every user of this Website declares that he has read the contents of these Terms of Use carefully, and that he fully agrees to all its provisions and conditions, including the separate agreement regarding the statute of limitations attached to the Terms of Use, and that he and/or anyone acting on his behalf shall not have any claim and/or demand and/or suit, directly and/or indirectly, against the Website and/or against any of its owners and/or against any of its managers and/or against anyone acting on their behalf and/or against the Hotel.

1.4 Parts of these Terms of Use are written using male pronouns solely for convenience. The Terms of Use are intended to apply in their entirety for both men and women.

1.5 The user of the Website (hereinafter – “the User”) declares that the information displayed on the Website and/or any part thereof is the exclusive property of Gordonia Hotels Ltd., and that Gordonia Hotels Ltd. reserves its copyrights in such information and/or any part thereof, and that he undertakes to use the information displayed on the Website solely for his own personal use, and not to copy, photograph, reproduce, transmit, print, or publish the information displayed on the Website and/or any part thereof for any person and/or entity without the prior written consent of Gordonia Hotels Ltd., with the exception of personal, non-commercial purposes, whether such information is owned by Gordonia Hotels Ltd. or owned by any third parties.

1.6 The User undertakes not to make any distortion or change in the information, or any other action that may negatively affect the accuracy of the information and/or the reliability, reputation, or good name of Gordonia Hotels Ltd. and/or the Hotel, or any other entity.

1.7 Gordonia Hotels Ltd. may display advertisements and sales promotions as part of the service it provides on the Website, and the User agrees that it may display such advertisements and sales promotions as part of the Website. The manner of presentation, form, size, and changes to any such advertisement and/or sales promotion shall be at the sole discretion of Gordonia Hotels Ltd.

1.8 Gordonia Hotels Ltd. reserves the right to introduce into these Terms of Use, at its sole discretion, amendments and/or changes of any kind and/or type, which shall enter into force immediately upon their introduction into these Terms of Use.

1.9 Gordonia Hotels Ltd. shall also be entitled to close the Website, or to change from time to time its structure, content, appearance, scope, and the availability of the services and content provided therein, and any other matter relating to the Website and its operation, all without the need to notify the Users in advance. The User declares that he shall have no claim and/or demand and/or suit against Gordonia Hotels Ltd. in this regard.

1.10 The Website may include links to other websites operated by third parties. The User expressly agrees and hereby declares that Gordonia Hotels Ltd. shall not be responsible in any way for the said third party website, including its content, the services provided, and anything else whatsoever related to it. Communications and transactions that the User shall make with any said third party shall be exclusively between him and the third party, and Gordonia Hotels Ltd. shall not be responsible for the terms of use and/or privacy policies of said third party websites.

1.11 These Terms of Use shall be governed solely by the laws of the State of Israel. The exclusive jurisdiction for any matter relating to these Terms of Use, or use of the Website, shall be in Israel, and in the Tel Aviv District Courts only.

2. Risks and Liabilities

2.1. The User hereby acknowledges that the use of a website in general involves many risks, both due to the technology involved and due to human factors operating via the internet, and may naturally also involve technical malfunctions, and he hereby waives any claim, demand, or lawsuit in this regard.

2.2 The User is solely and fully responsible for any use he makes and/or shall make of the information displayed on the Website and/or for the manner in which he makes use of this information.

2.3 The information is for the User’s own personal use only, and its use, including any reliance on it, is the User’s sole responsibility. Without derogating from the generality of the foregoing, the User hereby declares that he is aware that the images displayed on the Website are for illustrative purposes only, and that there may be differences between how they are shown on a computer screen and their appearance in reality.

2.4 Information is presented on the Website on an “as-is” basis, and Gordonia Hotels Ltd. shall not be responsible for adapting the information to the User’s needs, and shall not be responsible for the User’s inability to use such information.

2.5 The Hotel makes every effort to ensure that the information is as correct and accurate as possible, but the information does not claim to be a complete, comprehensive, or detailed analysis of all the topics mentioned therein. The information is general only and is not exhaustive. The Hotel shall not bear any responsibility for errors in the information presented on the Website, whether originating from Gordonia Hotels Ltd. and/or the Hotel, or originating from third parties.

2.6 Gordonia Hotels Ltd. shall not be responsible for any damage, inconvenience, loss, expense, or distress that may be caused to the User or his property (including, but not limited to, the User’s hardware and/or software), or to any third party, whether directly or indirectly, due to the use of the Website and/or due to the use of its content.

2.7 Gordonia Hotels Ltd. shall not be liable for any illegal action performed by the User on the Website or performed by any other party not under its control.

2.8 Gordonia Hotels Ltd. shall not be liable for any changes made to the information by the User and/or by any other third party.

2.9 Gordonia Hotels Ltd. shall not be liable for any matter arising from the submission of incorrect or incomplete information by the User.

3. Reserving Accommodation

3.1 The User may visit the Website solely for the purpose of reserving a room and purchasing services from Gordonia Hotels Ltd. and/or for the purpose of receiving information. The Website may not be used for any purposes other than those mentioned above.

3.2 It is possible to reserve a hotel room by calling the Hotel’s reservations center at +972-2-533-1331, or via this Website.

3.3. Anyone reserving a room and/or any other service via the Website is required to enter their personal details, including their ID card or passport number, and credit card number, as well as the above details of all guests staying with them.

3.4 Details of the Service Purchaser:

3.4.1 When purchasing services through the Website, the User shall be required to enter his personal details into the system.

3.4.2 The owners of the Website and/or any of its operators and/or any of its managers and/or anyone acting on their behalf shall not be responsible for any error made by the User when entering the purchase details, including an error in selecting the vacation package, date, number of beds, and any other service ordered by the User through the Website, and/or shall not hold any responsibility, whether direct or indirect, in any case in which the purchase details are not recorded correctly in the system and/or for any technical problem and/or any other issue that prevents the User from purchasing services through the Website.

3.4.3 Entering false information is a criminal offense, and legal action shall be taken against those who enter false information, including tort claims for damages caused to Gordonia Hotels Ltd. and/or the Website and/or the Hotel and/or its operators and/or any of its owners and/or any of its managers and/or anyone acting on their behalf.

3.4.4 The User acknowledges that, upon entering the purchase details, or in the event he provides his details as part of making a direct telephone reservation with the Hotel, he shall be included in the database of Gordonia Hotels Ltd. and/or the Hotel. Gordonia Hotels Ltd. and/or the Hotel shall be entitled to use the purchase details for the purpose of improving the services they offer the User on the Website, including for the purpose of adapting the Website to his personal needs and preferences, as well as for the purpose of contacting the User via regular mail or email, or by any other means of communication, all subject to the provisions of any law.

3.4.5 The number of rooms in the Hotel is limited, and Gordonia Hotels Ltd. offers rooms in the Hotel based on availability only. The reservation is only considered confirmed when a reservation confirmation is sent to the customer. In the absence of such confirmation, Gordonia Hotels Ltd. shall not be obliged to provide the customer with any service whatsoever, including accommodation services in the Hotel’s rooms.

3.4.6 As a condition of receiving the reserved service, the customer shall be required to present the reservation confirmation to the Hotel’s reception desk, or to the Hotel’s reservations department, upon arrival at the Hotel, either in printed form or displayed on a mobile phone.

4. Making a Reservation

4.1 The User shall enter the reservation details on the Website.

4.2 When entering the reservation details, the User shall also be required to enter credit card details, as security for the reservation payment.

4.3 Payment shall be made in full upon arrival at the Hotel, or upon departure from the Hotel, at the sole discretion of the Hotel. Payment shall be made in cash and/or by credit card. Notwithstanding the above, in the case of “non-refundable” reservations, the Hotel shall be entitled, at its sole discretion, to receive the payment immediately at the time the reservation is made.

5. Terms and Conditions

5.1 Prices on the Website are given in New Israeli Shekels and include VAT in accordance with the legal VAT rate on the relevant date.

5.2 Where prices are stated in US dollars, the payment shall be calculated in accordance with the representative exchange rate of the US dollar, known on the actual date of payment, as is determined periodically by the Bank of Israel. Israeli guests, or Israelis who also hold additional citizenships, who choose to make reservations through international websites such as Agoda, Expedia, Booking.com, and so on, shall be charged VAT upon arrival at the hotel, in accordance with the laws of the State of Israel.

It is hereby clarified that, in accordance with the laws of the State of Israel, only tourists with a B/2 entry visa are entitled to an exemption from paying VAT.

5.3 The Hotel is entitled to change the room reservation terms and package prices at any time.

5.4 The number of rooms in the Hotel is limited, and room reservations shall be made on the basis of availability only.

5.5 No double discounts or special offers.

5.6 Room check-in and check-out times:

5.6.1 Check-in: From 3:00pm on weekdays and from 5:00pm on Saturdays and public holidays.

5.6.2 Check-out: By 11:00am on weekdays and by 2:00pm on Saturdays and public holidays.

5.6.3 Check-in and/or check-out after/before the above times are subject to prior approval by the Hotel management and shall incur an additional fee.

5.6.4 Infants & Children: Each Hotel shall be entitled to decide whether or not to allow infants and children to enter the Hotel, for a restricted or unrestricted period, as it deems appropriate.

5.6.5 In any case, the accommodation of children and young people under the age of 18 shall be permitted only when accompanied by an adult and with the written approval of the Hotel.

5.6.5 Similarly, each Hotel shall be entitled to decide, at its sole discretion, whether to accommodate children and young people under the age of 18 on public holidays and special occasions.

5.7 E&OE (errors and omissions excepted).

6. Reservation Cancellations

6.1 Any reservation may be canceled at the times specified in the Consumer Protection Law and its regulations, and under the conditions specified therein, including in all matters relating to the amount and/or rate of the cancellation fee, and everything set forth in articles 6.3 to 6.6 below shall apply only when the reservation may not be canceled under the Consumer Protection Law.

6.2 Notification of the cancellation of a reservation shall only be made in one of the following ways: via the Website www.gordoniahotels.com, by calling +972-2-533-1331, by speaking to the reception staff, by sending an email to res@gordoniahotel.com, or by sending a notification via registered mail to the Gordonia Hotels Ltd. Reservation Center at the following address: Gordonia Maale Hahamisha Hotel, Reservation Center +972-2-533-1331.

6.3 Cancellation during the regular season – September 1 to June 30, inclusive, excluding holidays (Rosh Hashanah, Sukkot, Passover, and Shavuot) and special events (such as festivals, etc.): Cancellation of a reservation that occurs within 7 business days of the date of accommodation (regardless of the date on which the reservation was made) shall be charged a cancellation fee of 25% of the total reservation amount.

6.4 Cancellation during the peak season – September 1 to June 30, inclusive, including holidays and special events as mentioned above: Cancellation of a reservation that occurs within 8-20 business days of the date of accommodation (regardless of the date on which the reservation was made) shall be charged a cancellation fee of 25% of the total reservation amount. Cancellation of a reservation that occurs within 7 business days of the date of accommodation (regardless of the date on which the reservation was made) shall be charged a cancellation fee of 50% of the total reservation amount.

6.5 In the event of a no-show without prior cancellation notice, in all seasons, the customer shall be charged a cancellation fee equivalent to 50% of the total reservation amount.

6.6 It is possible to postpone accommodation at the Hotel up to 7 business days prior to the original accommodation date, on the basis of availability only.

6.7 In the case of non-refundable reservations, under the Consumer Protection Law and the agreement with the Hotel, the Hotel shall be entitled to receive payment for the reservation in full at any time after it is made, and the reservation shall be charged in full even in the event of any cancellation or no-show, and everything stipulated in articles 6.3 to 6.6 above shall not apply to them.

6.8 Accordingly, the above shall also apply to any service ordered from Gordonia Hotels Ltd. and/or the Hotel, including cultural, entertainment, or sports events, and so forth.

7. Miscellaneous

7.1 Pets are not permitted in the Hotel.

7.2 No furnishings or equipment may be removed from the guest rooms.

7.3 Smoking is strictly prohibited in all hotel rooms and indoor public areas, except for specific areas that may be designated by the Hotel. In the event of smoking occurring in a prohibited area, the smoker shall be charged NIS 500.

7.4 During certain months, there may be bees and/or fire ants and/or various pests in the pool area, and the customer waives any claim in this regard.

7.5 Entry to the Hotel is only permitted to guests named in the reservation.

7.6 Playing music is prohibited throughout the Hotel.

7.7 The Hotel is not responsible for the loss or theft of items not stored in the Hotel safe.

7.8 The Hotel is not responsible for the behavior of Hotel guests. However, the Hotel reserves the right to intervene in arguments and/or conflicts between guests, while not being obliged to do so.

8. Taking Care of the Hotel

8.1 The User undertakes, on his own behalf and on behalf of all other guests staying with him, to take good care of the Hotel and to avoid causing any damage to the Hotel, including all of its furnishings and equipment, whether intentionally or through negligence.

8.2 The User hereby acknowledges that in the case of any such damage, or smoking in a prohibited area, the credit card provided for security purposes shall be charged the full cost of the damage and/or the charge defined above for smoking in a prohibited area, without the need for the cardholder’s approval.

8.3 Furthermore, minibar products that entail a fee, or other items purchased by the guest and/or other guests staying with him, as well as any damage incurred to items in the room, or the loss of any items in the room, shall be charged during the check-out process, or thereafter.

On the Website, it is also possible to purchase accommodation and vacation packages at the Hotel, as well as spa packages and additional services, all as detailed on the Website.

Please read this privacy notice carefully prior to providing personal details (such as your name, telephone number, email, payment details, etc.) to Gordonia Hotels Ltd. through the Website.

This notice explains some of the processes involved in collecting data from the Website and in relation to the uses made of such data. 1. Data Collection and Possible Uses

1.1 We collect two types of data about visitors to the Website: (a) Active data (such as: name, ID number, email address, telephone numbers, payment details, requested dates of stay, etc.) that the visitor specifically submits to the Website for the purpose of, among other things, making a reservation for hotel accommodation and vacation packages, spa packages, and so on. (b) Passive data (such as: the type of browser used by the visitor on the Website, the visitor’s IP address, etc., with the exception of especially sensitive data as defined under the Protection of Privacy Law, 5741-1981 (hereinafter – “the Privacy Protection Law”)).

1.2. Visitors to the Website are aware that all details, data, information, and documents that they have provided and/or shall provide to Gordonia Hotels Ltd. and/or anyone acting on its behalf and/or to any other party within the framework of the Website, including personal details, may be entered into a database registered in the name of Gordonia Hotels Ltd., subject to the provisions of the Privacy Protection Law (hereinafter – “the Database”). However, anyone who considers that they have been harmed may contact the Company’s Privacy Protection Officer via email at Iris.mazel@gordoniahotels.com (hereinafter – “the Privacy Protection Officer”) to request that the information about them be deleted from the Database and/or corrected. When providing details to the Company within the framework of the Website, the visitor declares that all of the above details have been provided by him voluntarily and with his full consent. Furthermore, the User is advised that when sharing information relating to third parties, the User declares that such information is being shared with the consent and knowledge of those third parties and that the third parties are aware of the Company’s ability to store such information in the Database. When making a reservation, your provision of information constitutes a declaration on your part that the information is correct and was provided knowingly.

1.3. Personal details provided by the User on the Website shall be used only for the purposes expressly indicated in the specific location in which the details are provided, or for other purposes permitted by law, provided that no use shall be made of the payment details supplied by the User, except for the purpose of making a payment for the purchase made through the Website.

1.4 Visitors to the Website are aware that Gordonia Hotels Ltd. and/or someone acting on its behalf may contact them in the future via direct mail, based on the data contained in the aforementioned Database, including in relation to matters not covered by these regulations, and may also contact them with marketing and/or advertising offers of any kind or type through various mailing methods, all subject to the provisions of the law (hereinafter – “Contacts”).

1.5 It is also known to visitors to the Website that the details provided by them as stated above may also be entered into an additional database held by Gordonia Hotels Ltd. (insofar as it is held), which is used for its direct mail services and the services of those acting on its behalf – and the data may be used by the company and/or those acting on its behalf, subject to the limitations of the law. You may cancel these Contacts at any time under the provisions of articles 3.2 and 3.3 below, thus preventing the receipt of Contacts from the Company.

1.6 In addition to all of the above, it is also hereby clarified that (a) the data collected about the visitors may be transferred outside Israel, in accordance with and subject to the provisions of the law, and by providing this data you agree that your data will be used in the manner stated above within countries where there may be no laws intended to protect the privacy of your data, as stated; (b) Gordonia Hotels Ltd. may be required to transfer data collected about the visitors to the Website (in whole or in part) to state authorities or third parties, by virtue of the provisions of the law; (c) if Gordonia Hotels Ltd. is acquired (in whole or in part), or transfers its business (in whole or in part) to any third party, it is possible that data about the visitors to the Website shall also be transferred to the disposal of the third party, subject to the third party accepting the provisions of this privacy policy as they relate to visitors to the website; (d) the data collected about the visitors may be used by Gordonia Hotels Ltd. in any dispute, claim, or legal proceeding, if and to the extent that such exist between the User and Gordonia Hotels Ltd.; (e) Gordonia Hotels Ltd. may be required to transfer the information collected about visitors to third parties in cases where Gordonia Hotels Ltd. believes that the Website visitor has committed an act or omission that harms and/or may harm Gordonia Hotels Ltd. and/or any third parties.

2. Server
The server hosting the Website may be located outside Israel. Regardless of its location, Gordonia Hotels Ltd. shall collect, process, and use data about visitors only in accordance with this Privacy Policy and in accordance with the Privacy Protection Law.

3. Deleting, Correcting & Reviewing Data

3.1 Under the Privacy Protection Law, every person is entitled to review the data that has been collected about him and held in a database. A person who has reviewed such information and found that it is not correct, complete, clear, or up-to-date may contact the owner of the database with a request to correct or delete the data, by sending a request as detailed in article 3.2 below.

3.2. It is hereby clarified that Website visitors are entitled, upon their request, to review the data that has been collected about them and held in a database and/or to be deleted from any databases of Gordonia Hotels Ltd. and/or those operated on its behalf, or to give instructions that data relating to them shall not be disclosed to a person, a class of people, or certain people, and all for a restricted or unrestricted period of time, all by providing Gordonia Hotels Ltd. with express written notification, stating the request to review the data and/or to be deleted from the Database. It is also clarified that Website visitors reserve the right, insofar as they are not interested in receiving Contacts (as defined in Article 1.4 above), to request that their names be removed from the mailing list for sending Contacts, including by clicking the appropriate link, if any, in the emails sent to them (if any are sent), or by registered mail, or by email to Gordonia Hotels Ltd., including by contacting the Privacy Protection Officer at the email address provided above.

3.3. Changing or deleting the details actively provided by visitors to the Website, as well as reviewing (under the provisions of the law) data about a Website visitor held by Gordonia Hotels Ltd., as stated in Article 3.2 above, can be performed in several ways, including by completing and sending the required details via the Contact page of the Website, by contacting Gordonia Hotels Ltd. by telephone at +972-73-212-6020 during business hours, or by sending an email to Gordonia Hotels Ltd. at res@gordoniahotels.com, or by contacting the Privacy Protection Officer, as stated above.

4. Data Security

Gordonia Hotels Ltd. works to ensure the security of user information in accordance with the provisions of the Privacy Protection Law. It must be understood that, although data security measures can reduce the risks of unauthorized access to the computer systems and websites of Gordonia Hotels Ltd., it cannot provide absolute protection from such unauthorized access under all conditions, and Gordonia Hotels Ltd. is unable to completely eliminate the risks of unauthorized access to the Website and the information stored therein, subject to the provisions of the law.

At the same time, Gordonia Hotels Ltd. cooperates with the Privacy Protection Authority (hereinafter – “the Authority”) in all matters relating to the investigation of data security incidents, and acts in accordance with its guidelines and the requirements of the law.

Furthermore, Gordonia Hotels Ltd. acts in accordance with the distinction established by law between minor, intermediate, and serious data security incidents, and performs its duties in accordance with the appropriate incident level under the law.

Therefore, if the User becomes aware of an incident that poses a risk of significant harm being incurred to the User’s privacy, the User is advised to contact the Gordonia Hotels Ltd. Privacy Protection Officer at the email address provided above.

In such a case, Gordonia Hotels Ltd. will report this incident to the Authority without delay, and if such an incident has indeed occurred, and as required by the Authority, Gordonia Hotels Ltd. will notify affected customers and provide them with relevant information about the incident. Every data security incident, including those that are minor or intermediate in severity, will be recorded in internal data security event logs managed by Gordonia Hotels Ltd.

5. Links to Websites and/or the Use of Search Engines, Etc.

As stated above, the Website may contain links to websites operated by third parties and/or use various search engines, and so forth, which are used by Gordonia Hotels Ltd. for the purpose of providing service to customers and/or Website visitors, and which are not under the control of Gordonia Hotels Ltd., nor its responsibility, and to which this Privacy Policy does not apply.

Therefore, if a visitor to the Website chooses to browse other websites by accessing them through links on the Website, it is hereby clarified that the operators of the other websites are not bound by the provisions of this Privacy Policy and Gordonia Hotels Ltd. shall have no liability in this regard. Furthermore, the visitor hereby waives any claim or suit, etc., related to the fact that his details shall be exposed to these other websites and/or search engines, and so forth, or will be collected by them as part of the process by which Gordonia Hotels Ltd. provides service to the customer/visitor.

6. Cookies

6.1 Gordonia Hotels Ltd. may use “cookies” to collect information in order to monitor traffic on the Website, or to activate and improve special offers available through the Website, or to conduct research and assessments regarding the effectiveness of various special offers, advertisements, and communications in various media, or to personalize the content and advertisements shown to the visitor, and so on.

6.2 A “cookie” is an electronic program that connects the Website to the computer of the visitor/User via the web browser.

6.3 Gordonia Hotels Ltd. does not require visitors to accept cookies and visitors may opt out of receiving cookies at any time.

6.4 This Privacy Policy applies to the use of cookies on this Website only, and does not cover the use of cookies by any third party.

7. Unsolicited Emails (“Spam”)

We do not send “spam.” Promotional materials shall only be sent to Website visitors in accordance with the provisions of the Communications Law (Telecommunications and Broadcasting), 5742-1982.

8. Children
8.1 Protecting the privacy of your children online is very important to Gordonia Hotels Ltd. It is therefore suggested that parents or guardians remain with their children while the children use the internet, and participate in and guide their activities on the internet.

8.2 Special Note for Children Under 18 – If you are under 18, you must (a) inform us of this fact; and (b) present us with the consent of your parents or guardians prior to providing any details about yourself. If anything in this section or in the entire Terms of Use is not clear to you, please ask your parents or guardians for assistance.

9. Privacy Policy Updates

Gordonia Hotels Ltd. reserves the right to change and amend this Privacy Policy from time to time, and in accordance with the law. Visitors to the Website should review this Privacy Policy prior to each use of the Website, and take note of the changes that have been made to it (if any) since their last visit.

10. Consent
By using the Website, as well as by actively providing your personal details as part of your use of the Website, you accept all the terms of this Privacy Policy.

11. Jurisdiction
This Privacy Policy shall be governed by, and construed in accordance with, Israeli law. The exclusive jurisdiction, with respect to disputes arising in relation to this Privacy Policy, shall be vested in the competent courts of the Tel Aviv-Yafo District.

Separate Agreement on the Matter of Limitation
